Our IP: All content on apexaipilot.com — including text, graphics, code, and methodology — is owned by Apex AI Pilot LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.
Client IP: You retain ownership of all pre-existing intellectual property you provide to us. You grant us a limited, non-exclusive license to use your materials solely for the purpose of delivering contracted services.
Deliverables: Unless otherwise agreed in a signed Service Agreement, custom automation systems and code developed specifically for you transfer to your ownership upon full payment of all applicable fees. Our proprietary frameworks, templates, and methodologies remain our property and may be used across multiple engagements.
Both parties agree to keep confidential any non-public business information, technical details, client data, pricing, or strategic information disclosed during the engagement (“Confidential Information”).
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available without breach; (b) was known prior to disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order.
Confidentiality obligations survive the termination of any Service Agreement for a period of 3 years.
You acknowledge that AI and machine learning systems are probabilistic by nature and may produce unexpected, inaccurate, or imperfect outputs. Specifically:

Our total aggregate liability for any claim arising from or related to our services shall not exceed the total fees paid by you in the 3 months preceding the claim.

You agree to indemnify, defend, and hold harmless Apex AI Pilot LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:
Either party may terminate services as specified in the applicable Service Agreement. In the absence of a Service Agreement, either party may terminate with 30 days written notice.
We reserve the right to suspend or terminate access immediately if you:
Upon termination, we will provide your data in a standard format within 30 days. Confidentiality obligations and IP provisions survive termination.
These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or our services shall first be subject to good-faith negotiation between senior representatives of both parties. If not resolved within 30 days, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, with proceedings held in Wisconsin.
You waive any right to participate in class-action litigation or class-wide arbitration against Apex AI Pilot LLC.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date. For active clients, we will provide at least 14 days notice before material changes take effect.
Your continued use of our services after the effective date of updated Terms constitutes your acceptance of those Terms.
